1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the 4Share Ride platform, including the website https://4shareride.com and any associated mobile applications, operated by KAWIWI International Limited, a company incorporated in Zambia with its principal place of business at Woodlands, Lusaka, Zambia ("KAWIWI", "we", "us", or "our").

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE PLATFORM.

These Terms constitute a legally binding agreement between you and KAWIWI. KAWIWI reserves the right to amend these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.

2. Definitions

"Platform" means the 4Share Ride website, mobile applications, and all related services operated by KAWIWI.

"Rider" means any registered user who uses the Platform to request transportation services.

"Driver" means any individual who registers on the Platform to offer transportation services.

"Trip" means a transportation service arranged through the Platform between a Rider and a Driver.

"User" means any Rider, Driver, or visitor accessing the Platform.

"Third-Party Services" means any services, products, or content provided by parties other than KAWIWI.

3. Platform Nature — Intermediary Only

KAWIWI IS A TECHNOLOGY PLATFORM AND INTERMEDIARY ONLY. KAWIWI DOES NOT PROVIDE TRANSPORTATION SERVICES AND IS NOT A TRANSPORT OPERATOR, TAXI COMPANY, OR CARRIER.

The Platform facilitates connections between independent Riders and independent Drivers. All transportation services are provided by Drivers who are independent contractors, not employees, agents, or representatives of KAWIWI. KAWIWI exercises no control over the manner in which Drivers conduct trips or operate their vehicles.

KAWIWI is not a party to the transportation contract between Rider and Driver and assumes no liability arising from any Trip, including but not limited to accidents, delays, loss, injury, or death.

4. Eligibility and Account Registration

You must be at least 18 years of age to register on the Platform.

You must provide accurate, complete, and current information during registration.

You are responsible for maintaining the confidentiality of your account credentials.

You are fully responsible for all activity that occurs under your account.

KAWIWI reserves the right to suspend or terminate any account at its sole discretion, without notice, for any violation of these Terms or for any other reason KAWIWI deems appropriate.

5. Driver Obligations and Independent Contractor Status

Drivers using the Platform agree and acknowledge that:

They are independent contractors and not employees, agents, or partners of KAWIWI.

They hold a valid Zambian driver's licence appropriate for the class of vehicle operated.

Their vehicle is roadworthy, properly insured, and compliant with all applicable Zambian laws and regulations.

They are solely responsible for all taxes, levies, and statutory obligations arising from income earned through the Platform.

They are solely responsible for the safe conduct of all Trips and for compliance with road traffic laws.

KAWIWI does not guarantee any minimum earnings or availability of Trips.

6. Rider Obligations

Riders must provide accurate pickup and drop-off locations.

Riders must conduct themselves respectfully and lawfully during all Trips.

Riders are prohibited from requesting Trips for unlawful purposes.

Riders are responsible for the conduct of any additional passengers they bring into a Driver's vehicle.

Riders accept that cancellation fees may apply in accordance with KAWIWI's current fee schedule.

7. Payments and Fees

Payment for Trips is facilitated through the Platform. Fares are calculated based on distance, time, demand, and other factors at KAWIWI's sole discretion. KAWIWI reserves the right to adjust pricing at any time without prior notice.

KAWIWI collects a service fee from Drivers for use of the Platform. This fee is subject to change. Disputes regarding fares must be raised within 24 hours of Trip completion. KAWIWI's decision on fare disputes is final.

All payments are processed through third-party payment providers. KAWIWI is not responsible for errors, delays, or failures by such third-party processors.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAWIWI INTERNATIONAL LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SUCCESSORS SHALL NOT BE LIABLE FOR:

Any personal injury, death, loss, or damage arising from a Trip, whether caused by a Driver, Rider, or third party;

Any indirect, incidental, special, consequential, exemplary, or punitive damages;

Loss of profit, revenue, data, goodwill, or business opportunity;

Any damages arising from your reliance on information provided on the Platform;

Any failure or delay in Platform performance due to causes beyond KAWIWI's reasonable control, including force majeure events;

Any acts or omissions of Drivers, who are independent contractors;

Theft, damage, or loss of property during a Trip;

Platform downtime, bugs, errors, or security breaches.

WHERE LIABILITY CANNOT BE FULLY EXCLUDED BY LAW, KAWIWI'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KAWIWI IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless KAWIWI International Limited, its parent, subsidiaries, affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or inability to use the Platform;

Your violation of these Terms or any applicable law or regulation;

Your conduct during any Trip;

Any content you submit, post, or transmit through the Platform;

Any dispute between you and any Driver, Rider, or third party;

Any claim that your use of the Platform caused damage to a third party.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KAWIWI EXPRESSLY DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KAWIWI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

KAWIWI DOES NOT ENDORSE, VERIFY, OR GUARANTEE THE CONDUCT, IDENTITY, OR QUALIFICATIONS OF ANY DRIVER OR RIDER. USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

11. Safety and Prohibited Conduct

The following conduct is strictly prohibited on the Platform:

Using the Platform for any unlawful purpose or in violation of any regulation;

Harassing, threatening, or abusing any Driver, Rider, or KAWIWI personnel;

Providing false information during registration or Trip requests;

Tampering with GPS, ratings, or any Platform functionality;

Using the Platform while under the influence of alcohol or controlled substances (Drivers);

Soliciting payment outside the Platform to circumvent KAWIWI's service fees;

Reproducing, modifying, or reverse-engineering any part of the Platform.

KAWIWI reserves the right to remove any User from the Platform immediately and without notice for prohibited conduct.

12. Intellectual Property

All content, trademarks, logos, software, and technology on the Platform are the exclusive property of KAWIWI International Limited or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for personal, non-commercial purposes. No other rights are granted.

You may not copy, reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Platform without KAWIWI's prior written consent.

13. Third-Party Links and Services

The Platform may contain links to or integrations with third-party websites or services. KAWIWI is not responsible for the content, privacy practices, or availability of third-party services. Access to any third-party service is at your own risk and subject to the third party's own terms.

14. Force Majeure

KAWIWI shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, civil unrest, government action, power failures, internet disruptions, or any other force majeure event.

15. Suspension and Termination

KAWIWI reserves the right to suspend or permanently terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. KAWIWI shall not be liable to you or any third party for any suspension or termination of access.

Users may deactivate their accounts at any time through the Platform settings. Deactivation does not extinguish obligations incurred prior to deactivation.

16. Dispute Resolution

In the event of a dispute arising from these Terms or your use of the Platform, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to mediation in Lusaka, Zambia.

These Terms are governed by and construed in accordance with the laws of the Republic of Zambia. The courts of Zambia shall have exclusive jurisdiction over any dispute not resolved through mediation.

17. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KAWIWI with respect to the Platform and supersede all prior agreements, representations, or understandings.
